Paralegal – Corporate


Procedural legal work, directly under attorney supervision in a support capacity to assist the business with its legal needs. This includes maintaining and organizing files, conducting legal research, drafting documents, gathering, and presenting information pertaining to corporate legal matters by which the company must abide.

Required Education and Experience

  • Paralegal Certificate
  • 2-year Associate Degree in Paralegal Studies
  • 3-5 years experience in a transactional practice, working with corporate documents, corporate filings and contracts
  • Work experience in a law firm or Business Legal Department
  • Intermediate knowledge of Microsoft Office (Outlook, Word, Excel, Power Point)
  • Solid knowledge of legal terminology, federal and state rules of legal procedure and substantive law

Preferred Education and Experience

  • Bachelor’s Degree in Paralegal Studies
  • Postsecondary legal studies
  • Experience in using legal database software
  • Industry recognized certification from organizations such as NALA or AACP
  • Advanced knowledge of Microsoft Office (Outlook, Word, Excel, Power Point)

Essential Functions

  • Facilitating completion of commercial contracts (e.g., filling in basic information to contract form, proofreading and collecting business information for schedules/appendices)
  • Update contract forms and draft simple form documents or contract amendments
  • Create organizational documents, including articles of incorporation or dissolution, stock certificates, annual minutes, board notices and resolutions
  • Assist Attorney with drafting a variety of contracts, e.g., employment contracts, non-compete agreements
  • Create and distribute reports
  • Assist the Compliance Department with paperwork needed by regulatory bodies including regulatory license or form filings
  • Get involved in fact-finding projects
  • Research and review public relations and media releases, trademarks, patent information and licensing agreements
  • Perform legal research; investigate the facts, identify laws, other case results and information relevant to the case
  • Review documentation to ensure it adheres to state law or federal tax requirements
  • Assist with preparing materials for the Board of Directors and any related meetings
  • Organize, communicate, and analyze information and respond to requests for information
  • Organize and track files and exhibits related to case documents and important corporate transactions
  • Develop and maintain a case file indexing system that can be used as an active archive for all ongoing and completed cases
  • Create documents, filings and records related to contracts, financial reports and shareholder information
  • Support corporate records retention and maintenance
  • Participating in due diligence review
  • Draft research memorandums, correspondence, and other documents
  • Handle discovery—the exchange of certain information between opposing parties to a lawsuit
  • Monitor changes to government guidelines or regulations and submit reports on pertinent changes
  • Escalate concerns through the appropriate channels in accordance with policies and procedures
  • Stay current with market, system information, changes and updates
  • Willingness to accept additional tasks, special projects and other related duties and/or direction as assigned and work collaboratively with other AGWS Managers and staff
  • Ability to work overtime, evenings, weekends and holidays to meet deadlines, company and industry demands
  • Project a professional image in all settings
